Privacy Policy.

INTELAGREE PRIVACY POLICY 

Last revised: January 5, 2024 

1. INTRODUCTION   

Purpose.  The purpose of this Privacy Policy is to describe how IntelAgree, LLC (“IntelAgree”) collects, uses and shares information about you through our IntelAgree application and other online interfaces (e.g., websites and mobile applications) owned and controlled by us, including www.intelagree.com and the IntelAgree application (collectively referred to herein as the “Site”).  Please read this notice carefully to understand what we do. If you do not understand any aspects of our Privacy Policy, please feel free to Contact Us or as described at the end of this Policy.

Scope; Third Party Sites.  This Privacy Policy applies only to information we collect at and through the Site.  Our Site also contains links to third party sites that are not owned or controlled by IntelAgree.  Please be aware that we are not responsible for the privacy practices of such other sites.  We encourage you to be aware when you leave our Site and to read the privacy statements of each and every website that collects personal information.   

Terms of Use.  Please note that your use of our Site is also subject to our Terms of Use.   

2. INFORMATION THAT WE COLLECT  

Information You Provide to Us 

We collect information you provide to us, for example when you create or modify your account, register to use our Site, purchase products or services from us, request information from us, contact customer support, or otherwise communicate with us. This information, which may be considered personal information under applicable law, includes: 

  • Name 
  • Email address 
  • Physical address 
  • Phone number 
  • Fax number 
  • IP address or device ID 
  • Payment or financial information for billing purposes or in order to process a payment 
  • Tax information for purposes of payment of taxes 
  • Communication preferences 
  • Other similar personal and business demographic or contact information 

We may also collect information, including personal information (which is information that identifies you or that is associated with you), in the following situations: 

  • Registering for or Attending Events. If you register for or attend events sponsored by IntelAgree, we may use the information you provide to us to contact you regarding the vent. We may also inform you about future events or otherwise market our services to you. 
  • Signing up for news alerts and newsletters. You may be able to sign up to receive newsletters and other publications from IntelAgree. When you provide your email address or other contact information to IntelAgree, we may send you product alerts and newsletters or otherwise market our services to you. 
  • Applying to work for us. If you apply to work for us, we may use the information you provide in connection with processing your application. 
  • Contacting or Communication with us. If you contact or communicate with us (in any form, mail, phone, email, text or otherwise), we may use the information you provide to respond to you and engage in further communications. 

We collect such information in order to communicate with Site visitors, provide IntelAgree services, operate, maintain and enhance the Site, market our services and fulfill specific requests. 

We do not generally collect “sensitive” personal information (such as personal information regarding a person’s race, ethnicity, political beliefs, trade union membership, religious or similar beliefs, physical or mental health, sexual life or criminal record).  However, we may do so when appropriate for our clients or third parties involved in a matter we are handling, when the relevant individuals voluntarily provide us with this information or when such information is permitted to be collected under applicable law in connection with our provision of legal services. 

Cookies; Information We Collect Automatically Through Your Use of our Site  

We and our service providers use cookies, web beacons, and other technologies to receive and store certain types of information whenever you interact with our Site through your computer or mobile device. A cookie is a small file containing a string of characters that is sent to your computer when you visit a website. When you visit the Site again, the cookie allows the Site to recognize your browser. Cookies may store unique identifiers, user preferences and other information. You can reset your browser to refuse all cookies or to indicate when a cookie is being sent. However, some Site features or services may not function properly without cookies. We use cookies to improve the quality of our service, including for storing user preferences, tracking user trends and providing relevant advertising to you. (See, “Advertising” below.)  

No Information from Children Under Age 13 

If you are under the age of 13, please do not attempt to register with us at this Site or provide any personal information about yourself to us.  If we learn that we have collected personal information from a child under the age of 13, we will promptly delete that information.  If you believe we have collected personal information from a child under the age of 13 (or under 16 years old for a European resident), please Contact Us or call us at 888-657-8423.   

3. HOW WE USE AND SHARE YOUR INFORMATION exclusive of data provided through the Google API restricted scope 

To Provide Products, Services, and Information.  We collect information from you in order to provide you with services available through our Site, such as access to the IntelAgree software; register and service your online account; provide information that you request from us; contact you about your requests and inquiries; process credit card and debit card transactions; send you promotional materials or advertisements about our products and services, as well as new features and offerings; and, provide interest-based targeted advertising to you 

Sharing with Third Parties.  We may provide information to third party service providers that help us operate and manage our Site, process orders, provide advertising for us, and provide services that you purchase from us. These service providers will have access to your personal information in order to provide these services, but when this occurs, we implement reasonable contractual and technical protections to limit their use of that information to helping us provide the service. Regarding Generative Artificial Intelligence (“GenAI”) features and or functionality in the IntelAgree Systems that you purchase from us, or that we provide to you at no charge, our third-party service providers do not have access to your data (“Customer Data”) on IntelAgree Systems.   

The GenAI features and functionality accessible on IntelAgree Systems do not share Customer Data with AI models accessible by third parties or the public.  The result is that the IntelAgree application (what we call “IntelAgree Systems”) does not share IntelAgree user data with third-party AI models. 

In short, the IntelAgree application does not share any data with the AI models. 

Advertising.  We may use how you browse and shop in order to show you ads for IntelAgree or our advertising partners that are more relevant to your interests. We may use cookies and other information to provide relevant interest-based advertising to you. Interest-based ads are ads presented to you based on your browsing behavior in order to provide you with ads more tailored to your interests. These interest-based ads may be presented to you while you are browsing our site or third-party sites not owned by IntelAgree.  

We belong to ad networks that may use your browsing activity across participating websites to show you interest-based advertisements on those websites. While you can disable cookies using your web browser, our Site does not recognize if your browser sends a “do not track” signal or similar mechanism to indicate you do not wish to be tracked or receive interest-based ads. To learn more about interest-based advertisements and your opt-out rights and options, visit the Digital Advertising Alliance and the Network Advertising Initiative websites (www.aboutads.info and www.networkadvertising.org). Please note that if you choose to opt out, you will continue to see ads, but they will not be based on your online activity.  

Your Consent.  In addition to the sharing described elsewhere in this Policy, we will share personal information with companies, organizations or individuals outside of IntelAgree when we have your consent to do so.  

Legal Proceedings.  We will share personal information with third party companies, organizations or individuals outside of IntelAgree if we have a good-faith belief that access, use, preservation or disclosure of the information is reasonably necessary to:  

  • Meet any applicable law, regulation, subpoena, legal process or enforceable governmental request.  
  • Enforce applicable Terms of Use, including investigation of potential violations.  
  • Detect, prevent, or otherwise address fraud, security or technical issues.  
  • Protect against harm to the rights, property or safety of IntelAgree, our users, customers or the public as required or permitted by law. 

Transfer in the Event of Sale or Change of Control.  If the ownership of all or substantially all of our business changes or we otherwise transfer assets relating to our business or the Site to a third party, such as by merger, acquisition, bankruptcy proceeding or otherwise, we may transfer or sell your personal information to the new owner. In such a case, unless permitted otherwise by applicable law, your information would remain subject to the promises made in the applicable privacy policy unless you agree differently.  

4. ACCESS TO YOUR INFORMATION AND CHOICES 

You can access and update certain information we have relating to your online account by signing into your account and going to the account section of our Site.  If you have questions about personal information we have about you or need to update your information, you can Contact Us or call us at 888-657-8423. You can opt-out of receiving marketing and promotional emails from IntelAgree by using the opt-out or unsubscribe feature contained in the emails. If you close your account, we will no longer use your online account information or share it with third parties.  We may, however, retain a copy of the information for archival purposes, and to avoid identity theft or fraud.  

5. SECURITY OF YOUR INFORMATION 

We use industry standard physical, technical and administrative security measures and safeguards to protect the confidentiality and security of your personal information.  However, since the Internet is not a 100% secure environment, we cannot guarantee, ensure, or warrant the security of any information you transmit to us.  There is no guarantee that information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.  It is your responsibility to protect the security of your login information.  Please note that emails and other communications you send to us through our Site are not encrypted, and we strongly advise you not to communicate any confidential information through these means.  

6. DATA RETENTION 

To the extent permitted by applicable law, we may retain personal information for as long as the information is needed to facilitate our services, comply with our obligations (including to clients), resolve disputes, enforce our agreements, comply with an individual’s request, facilitate marketing or analytics or for as long as is reasonably necessary for other lawful purposes. We may retain some information for a longer period if required under applicable laws or regulations.  

 

7. CALIFORNIA PRIVACY RIGHTS  

California residents should read our California Supplemental Privacy Notice (insert link here) in conjunction with this Privacy Policy. The California Supplemental Privacy Notice for California residents explains GTC’s commitment to comply with California law and applies to personal information of California residents collected in connection with the Site.  

8. CANADIAN RESIDENTS 

Canadian residents may have additional rights under Canadian law. You, and we, confirm that it is our wish that this document and all other related documents be drawn up in English. 9. EUROPEAN RESIDENTS 

If you are a resident of Europe or otherwise entitled to such rights under applicable law, you may have additional rights under applicable law related to the “Processing” of your “Personal Data” as such terms are defined below or otherwise under applicable law: 

Personal Data” means “any information relating to an identified or identifiable natural person who can be Identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical physiological, genetic, mental, economic, cultural or social identity of such natural person” or as otherwise defined under applicable law; and 

Processing” means” any operation or set of operations which is performed on Personal Data or on sets of Personal Data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction” or as otherwise defined under applicable law. 

Purposes and Legal Bases for Processing Personal Data. 

IntelAgree Processes data for the purposes set forth in this Privacy Policy, including as explained in the “Collection and use of information” and “Sharing and transfer of information” sections. To fulfill these purposes, IntelAgree may Process data, including Personal Data, to provide IntelAgree services, to operate the Site, to correct and address technical or service problems or in response to contractual requirements. Please see our IntelAgree Privacy Policy “How we use and share your information”, “Information that we collect”,  and “Data retention” sections for additional details on how we Process Personal Data, about individuals or in connection with matters we are handling for clients. 

 

Our legal bases for the processing of Personal Data are consent and any other applicable legal bases, such as contractual necessity and our legitimate interest in engaging in commerce, supporting internal business functions, offering, providing and billing for legal services, preventing fraud, ensuring information and network security, marketing and advertising, and complying with industry practices and professional standards. 

 

Additional Rights for European Residents. If you are a resident of Europe or otherwise entitled to such additional rights under applicable law, you may have one or more of the following additional rights under applicable law: 

 

Access. To request a copy of Personal Data we have collected about you by contacting us. 

 

Rectification & Erasure. To request that we rectify or delete any Personal Data we have collected about you that is incomplete, incorrect, unnecessary or outdated. 

 

Objection. To object, at any time, to Personal Data we have collected about you being Processed for direct marketing purposes. 

 

Restriction of Processing. To request restriction of Processing of Personal Data we have collected about you for certain reasons, such as, for example, if you consider such Personal Data to be inaccurate or you have objected to the Processing and the existence of legitimate grounds for Processing is still under consideration. 

 

Data Portability. To request to receive Personal Data we have collected about you in a commonly used and machine-readable form. 

 

Right to Withdraw Consent. If Personal Data we have collected about you is processed solely based on your consent and not for any other legitimate interest, to withdraw your consent at any time, without affecting the lawfulness of our Processing based on such consent before it was withdrawn, including processing related to existing contracts for our products and services. 

 

Right to Lodge a Complaint with a DPA. If you believe our Processing of Personal Data, we have collected about you is inconsistent with the applicable data protection laws, to lodge a complaint with your local supervisory data protection authority (“DPA”). 

 

To exercise any of the above listed rights, please contact us as set forth below and provide sufficient details so that we can respond appropriately. We will process any requests in accordance with applicable law. We may need to verify the identity of the individual submitting a request before we can address such request. Also, we may have confidentiality or contractual obligations to our clients that may prevent us from sharing, deleting or restricting our Processing of certain information without their consent.

10. TELEPHONE CONSUMER PROTECTION ACT 

You agree that IntelAgree may use your information to make business, informational and collections calls relating to the services that we provide to all telephone numbers, including cellular numbers or mobile devices, you provide to IntelAgree. You agree such calls may be pre-recorded messages or placed with an automatic telephone dialing system. In addition, you agree that IntelAgree may send non-marketing service or account related text messages to cellular phone numbers you provide to IntelAgree, and you agree to accept and pay all carrier message and data rates that apply to such text messages. If you provide an e-mail or other electronic address to IntelAgree, you acknowledge and consent to receive business and informational messages from IntelAgree at such address, including collections messages, and you represent and warrant that such address is your private address and is not accessible or viewable by any other person. 

11. CHANGES TO OUR PRIVACY POLICY 

Our Privacy Policy may change from time to time. We will not reduce your rights under this Privacy Policy without your consent in accordance with applicable law. We will post any privacy policy changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain services, email notification of privacy policy changes). We will also keep prior versions of this Privacy Policy in an archive for your review.
