Overview

One of the biggest challenges of an acquisition is integrating contract management processes and systems. In this case, nearly two years after a midsized multi-state staffing organization completed its acquisition, the companies’ leaders knew they needed someone to handle the burden of merging their contracts — so they turned to their Senior Counsel.

Before the acquisition, neither company had a standardized contract creation process or centralized repository. Without either of these, the unified business couldn’t accurately track risks, obligations, or opportunities. Unlike other CLM software vendors, IntelAgree’s all-inclusive pricing model provided the scalability that the Senior Counsel needed.

“Many of the other solutions we vetted had power user licenses or view-only licenses, but in order to really be a helpful tool, we needed everybody [with permissions] to be able to see what’s in there,” said the Senior Counsel. “As we continue to grow, we want to make sure that the CLM platform is something we can maintain from a cost standpoint. And having unlimited users instead of a complex pricing structure made IntelAgree very attractive.”

In addition to IntelAgree’s competitive pricing structure, the Senior Counsel was also impressed by the weekly training and ongoing customer support offered to her team during the implementation process. Currently, user adoption is 95%.

Accelerating Contract Processes with Standardized Templates

With IntelAgree's help, the firm created over 30 full contract templates to ensure consistency and accuracy with contract terms.

IntelAgree's contract creation wizard also empowers the sales team to generate their own contracts with pre-approved legal terms, enabling them to execute contracts faster. Plus, using the templates to make quick requested changes has reduced turnaround time by an entire day. "Before, we'd get requests for every little change in a contract," said the Senior Counsel. "Now, we've added some flexibility around some of the business terms. Instead of routing a contract automatically to legal, the system might route a question to their manager. Then it can be resolved much faster."

Setting pre-approved business terms — especially for placement fees — is driving more revenue for the companies, too. "If a user tries to create a contract with anything less than a pre-approved percentage, IntelAgree warns them that they'll have to get approval," said the Senior Counsel. "I think that strongly encourages them to advocate for higher fees. And in my experience, I've seen those percentages increase, which means we're capturing extra dollars."

 

Reducing Silos & Risks with End-to-End Contract Visibility

Before the acquisition, neither organization had a single source of truth for contracts or much visibility into approvals across departments. Now, IntelAgree's centralized repository, comment tracking, and customizable dashboards provide contract details at a glance for all who have access.

"Having one tool in place boosts confidence that the whole team is working together toward the same goal," said the Corporate Operations Specialist. "It's almost like having a social media page for your contracts, where everyone can comment and be notified of other comments."

Similarly, the Senior Counsel added, it gives the leadership team more visibility into what teams are doing, particularly by looking at the dashboard and automated reporting.  And with IntelAgree’s machine learning capabilities, the organizations can conduct Google-like searches for specific terms, track contractual obligations, and set automatic reminders and alerts. 

"We manage a lot of certificates of insurance across all of our sub-suppliers, so having an easy way to, one, give that team instant access to see what the certificate of insurance says and, two, set an automatic reminder for updating the certificate is huge," said the Senior Counsel. "And in general, we have a better sense of when contracts are going to expire. We're constantly adding notifications, automatic reminders, and workflows so that the people who need to know are alerted."
